Wholesale Account Terms

These terms govern wholesale account applications, restricted catalogue access, pricing, ordering privileges, business verification and approved purchasing through The Cosmic Distro.

Applying for an account does not guarantee approval. Wholesale pricing, restricted products and ordering privileges are available only to customers approved by The Cosmic Distro.

These Wholesale Account Terms form an agreement between The Cosmic Distro (“The Cosmic Distro,” “we,” “us,” or “our”) and the person and business applying for or using a wholesale account (“you” or “your”).

These terms apply to wholesale accounts, restricted catalogue access, confidential pricing, orders, invoices, fulfilment, communications and related services provided through cosmicdistro.shop or an authorised sales representative.

Agreement to These Terms

By applying for, accessing or using a wholesale account, you confirm that you have read, understood and agreed to:

  • Our general Terms and Conditions.
  • Our Privacy Policy.
  • Our Delivery and Fulfilment Policy.
  • Our Returns, Damages and Credits Policy.
  • Any order-specific or invoice-specific written terms.
  • Applicable laws, regulations and licence conditions.

If you accept these terms for a company, partnership or other organisation, you represent that you have authority to bind that business to this agreement.

Wholesale Account Eligibility

Wholesale accounts are intended only for legitimate businesses and authorised adult representatives.

To qualify, you must:

  • Be at least 21 years old.
  • Represent a legitimate operating business.
  • Have authority to make purchases for that business.
  • Provide complete and accurate account information.
  • Maintain all licences and permits required for your activities.
  • Use purchased products only for lawful business purposes.
  • Operate within locations and markets where your activities are permitted.

Different product categories may have different eligibility, documentation, service-area and purchasing requirements.

Wholesale Application Information

We may request the following information during the application or account-review process:

  • Legal business name.
  • Doing-business-as name.
  • Business structure and type.
  • Business and delivery addresses.
  • Business email address and telephone number.
  • Applicant’s name, title and purchasing authority.
  • Business licence information.
  • Applicable cannabis or industry licence information.
  • Resale certificate or tax-exemption documentation.
  • Licence numbers and expiration dates.
  • Preferred brands and product categories.
  • Estimated purchasing or order volume.
  • Other information reasonably needed to review eligibility.

You certify that all information and documents submitted are genuine, complete, accurate and current.

Business and Licence Verification

We may verify application and account information using:

  • Government and regulatory licence databases.
  • State and local business records.
  • Resale and tax documentation.
  • Business websites and public listings.
  • Identity or business-verification providers.
  • Direct communication with the applicant.
  • Other lawful and commercially reasonable methods.

You authorise us to perform reasonable verification necessary to review, approve, maintain or protect a wholesale account.

We may request updated documentation before accepting an order, approving a new delivery location or restoring a restricted account.

Account Approval

Submitting a wholesale application does not guarantee approval.

We may:

  • Approve an application.
  • Approve an application with purchasing restrictions.
  • Request additional documents or information.
  • Reject or close an account.
  • Restrict particular products or service areas.
  • Require prepayment or different payment arrangements.
  • Set or change an account’s order limits.

Approval of an account does not guarantee product availability, order acceptance, credit terms, delivery service or continued account access.

Authorised Account Users

Only owners, employees or representatives authorised by the approved business may use its wholesale account.

The business is responsible for:

  • Identifying authorised purchasers.
  • Removing access when a user leaves the business.
  • Ensuring users understand these terms.
  • Reviewing orders placed through the account.
  • Preventing access by customers, competitors or unauthorised parties.

We may request proof that a person is authorised to apply for, access or place orders through a business account.

Account Security

You must protect all usernames, passwords, access links and account credentials associated with your wholesale account.

You agree to:

  • Use a strong and unique password.
  • Keep account credentials confidential.
  • Restrict access to authorised representatives.
  • Notify us promptly of suspected unauthorised access.
  • Keep account contact information current.
  • Review orders and account activity regularly.

You may not sell, rent, lend, transfer or share an account with another person or business.

Restricted Catalogue Access

Wholesale catalogue access is a limited, revocable business privilege.

Restricted catalogue information may include:

  • Wholesale prices.
  • Case quantities.
  • Available inventory.
  • Product-launch information.
  • Promotions and account-specific discounts.
  • Ordering and fulfilment information.
  • Brand or product materials intended for approved buyers.

Access may be restricted or removed when an account becomes inactive, cannot be verified or no longer meets our requirements.

Confidential Wholesale Pricing

Wholesale prices, discounts, case quantities and account-specific commercial terms are confidential business information.

You may not:

  • Publish restricted wholesale prices publicly.
  • Share login credentials with unauthorised parties.
  • Provide catalogue screenshots to competitors.
  • Copy or scrape the wholesale catalogue.
  • Use our pricing to impersonate or misrepresent our business.
  • Resell access to catalogue or account information.

This section does not prevent you from maintaining internal records or sharing necessary information with authorised employees, accountants, attorneys or professional advisers.

Wholesale Orders

Products displayed in the catalogue are invitations to submit an order and are not guaranteed offers of sale.

An order remains subject to:

  • Account approval.
  • Product availability.
  • Pricing confirmation.
  • Minimum order requirements.
  • Payment approval.
  • Licence and eligibility verification.
  • Delivery or pickup eligibility.
  • Applicable laws and regulatory requirements.

Automated order or payment messages do not necessarily mean that an order has been finally accepted.

We may accept, reject, limit, correct, separate or cancel an order before fulfilment.

Minimum Orders and Case Quantities

Minimum order values, case sizes and product quantities may vary by:

  • Brand.
  • Product category.
  • Account type.
  • Delivery location.
  • Promotion.
  • Inventory availability.
  • Payment or fulfilment arrangement.

Minimums and quantities displayed in the catalogue may change before an order is accepted.

We may contact you when an order does not meet the applicable quantity or minimum purchase requirement.

Payment Terms

Unless separate written credit terms have been approved, payment is due according to the invoice or checkout instructions provided for the order.

By submitting payment, you represent that:

  • You are authorised to use the selected payment method.
  • The payment and billing information is accurate.
  • The payment is made for a legitimate business order.
  • You authorise all approved charges connected with the order.

We may place an order on hold when payment cannot be confirmed or when additional verification is reasonably required.

Credit arrangements, deposits, payment deadlines and outstanding balances must be documented separately in writing.

Taxes and Resale Documentation

You are responsible for providing accurate and current resale, exemption and tax information.

You are also responsible for:

  • Taxes and fees applicable to your purchases or activities.
  • Maintaining valid resale documentation.
  • Using exemptions only for qualifying purchases.
  • Informing us when an exemption expires or changes.
  • Complying with your own reporting and payment obligations.

We may collect applicable taxes or decline an exemption when the required documentation is missing, expired, incomplete or invalid.

Delivery and Fulfilment

Orders may be delivered or released only through an approved and legally permitted fulfilment method.

You must provide:

  • An accurate approved delivery or pickup address.
  • A valid telephone number and email address.
  • An authorised adult recipient.
  • Required identification and business documentation.
  • Reasonable access during the scheduled delivery period.

Order Inspection and Claims

You or your authorised representative must inspect each order promptly after delivery or pickup.

Visible damage, missing quantities and incorrect products should be reported within 24 hours after receipt.

Claims should include:

  • The order or invoice number.
  • The affected product and quantity.
  • A clear explanation of the issue.
  • Photographs or video.
  • Images of relevant cartons, seals and labels.
  • Delivery or receiving documents where available.

Affected products and packaging must be preserved until we provide instructions.

Returns, Damages and Credits

Wholesale sales are generally final. Products may not be returned without prior written authorisation.

Eligible remedies may include:

  • Approved refund.
  • Another commercially reasonable resolution.

Lawful Resale and Product Handling

You are solely responsible for ensuring that your receipt, storage, advertising, transfer and resale of products comply with applicable laws and licence requirements.

You agree to:

  • Resell products only through authorised channels.
  • Maintain required licences, permits and records.
  • Store products securely and appropriately.
  • Preserve original packaging, labels and batch information.
  • Follow recalls, embargoes and safety instructions.
  • Prevent access by minors and unauthorised persons.
  • Avoid transferring regulated products across prohibited boundaries.

You may not remove, alter, conceal or replace required product, package, batch, testing or warning information.

Advertising and Marketing Standards

You are responsible for ensuring that your advertising, product displays, social-media posts and customer communications comply with applicable law.

You may not:

  • Market restricted products to anyone under 21.
  • Use images or content designed to appeal to children.
  • Make unsupported health or medical claims.
  • Misrepresent product testing, ingredients or origin.
  • Claim an exclusive or official relationship without permission.
  • Alter brand logos or packaging without authorisation.
  • Advertise products in a location where their sale is prohibited.

Use of product images, marketing materials or brand assets does not transfer ownership of any intellectual-property rights.

Business Records and Cooperation

You must maintain records required for your business and purchasing activities.

Where reasonably necessary to investigate an order, recall, regulatory issue or account concern, we may ask you to provide:

  • Current licence information.
  • Invoices and purchase records.
  • Delivery and receiving records.
  • Batch or package information.
  • Photographs of affected products.
  • Information relating to a recall or complaint.
  • Confirmation of product location or disposition.

You agree to cooperate reasonably with legitimate product, transaction, safety and compliance investigations.

Prohibited Account Conduct

You may not:

  • Submit false or altered business documents.
  • Use another business’s licence or resale information.
  • Permit an unauthorised party to use your account.
  • Purchase for or transfer restricted products to minors.
  • Evade purchase, location or licensing restrictions.
  • Commit payment fraud or chargeback abuse.
  • Scrape or copy restricted catalogue content.
  • Resell access to wholesale pricing.
  • Misrepresent your relationship with The Cosmic Distro.
  • Alter product packaging, labels or testing information unlawfully.
  • Use the account for an unlawful transaction.

Suspected fraud, unlawful activity or material account misuse may be reported to payment providers, regulators or law-enforcement authorities where appropriate.

Ongoing Account Review

Wholesale approval is subject to ongoing review.

We may periodically request:

  • Updated licence information.
  • Updated resale or tax documentation.
  • Confirmation of authorised purchasers.
  • Confirmation of business and delivery addresses.
  • Updated billing and contact information.
  • Information needed to resolve compliance or security concerns.

Failure to provide requested information may result in restricted catalogue access, delayed orders or account suspension.

Account Suspension or Closure

We may restrict, suspend or close an account when:

  • Account information is false, incomplete or outdated.
  • A required licence expires, is suspended or becomes invalid.
  • Payment obligations remain unresolved.
  • The account presents a security or fraud risk.
  • Confidential catalogue information is misused.
  • These terms or another website policy is violated.
  • Continued service could violate applicable law.
  • The account remains inactive for an extended period.

Suspension or closure does not eliminate payment, claim, confidentiality or other obligations created before the account was restricted.

Electronic Communications

By creating or using an account, you consent to receive electronic communications relating to:

  • Account approval and verification.
  • Orders and invoices.
  • Payments and account balances.
  • Delivery and fulfilment.
  • Product availability.
  • Safety notices and recalls.
  • Policy and account changes.
  • Customer-support inquiries.

You are responsible for maintaining a working email address and telephone number associated with the account.

Promotional emails may be unsubscribed from separately, but transactional and compliance communications may still be sent.

Account Holder Responsibility

The approved business is responsible for orders, account activity and conduct performed by its authorised representatives.

To the extent permitted by law, you are responsible for claims, penalties, losses and reasonable costs arising from:

  • False or misleading information submitted by you.
  • Unauthorised use of your account.
  • Your violation of applicable law.
  • Your unlawful resale or transfer of products.
  • Improper product storage or handling.
  • Unauthorised advertising or product claims.
  • Your violation of these terms.

Nothing in these terms excludes responsibility that cannot legally be excluded.

Changes to These Terms

We may update these Wholesale Account Terms to reflect changes in:

  • Our payment and fulfilment procedures.
  • Applicable laws or regulatory requirements.
  • Our security and verification procedures.

Revised terms will be posted on this page with an updated “Last Updated” date.

We may require account holders to accept revised terms before continuing to access restricted catalogue or ordering features.

Governing Law

These Wholesale Account Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where another law must apply.

Before initiating formal legal proceedings, the parties agree to make a reasonable good-faith effort to resolve the dispute through direct communication.

If any provision is found invalid or unenforceable, the remaining provisions will continue in effect.
